Terms of Service

These terms govern your access to and use of the Aiva platform and related services provided by Aiva Research, a subsidiary of Maven Intel.

1. Introduction

Welcome to Aiva! These Terms and Conditions ("Terms") and Privacy Policy govern your access to and use of the Aiva artificial intelligence assistant application ("App") and related services, provided by Maven Intel ("Company," "we," "us," or "our"). By downloading, installing, or using Aiva, you agree to be bound by these Terms and acknowledge the data practices described herein. If you do not agree, you may not use the App.

2. Description of Services & Data Processing Model

Aiva is an AI-powered assistant designed to prioritize user privacy while helping users chat, generate content, and improve productivity. By default, the App operates locally; some optional features connect to external services that are clearly labeled in the App.

  • Local Processing (Default): Aiva runs AI models locally on your device. Your chat history, inputs, ingested files and sources, and generated outputs are processed and stored solely on your computer's hard drive by default.
  • Authentication (Auth0): Signing in is handled through Auth0, a third-party identity provider, via your system browser. This enables account-gated features.
  • Web Search & Page Extraction (Optional): If you enable web access, the assistant may transmit your search query text, search objective/context, and any target URLs to our servers and third-party search/content providers to retrieve up-to-date information. These requests are tied to your authenticated account.
  • Image Generation (Optional): If you request an image, the image prompt text is transmitted to our edge servers to generate the result.
  • Remote AI Inference — "T.R.E.E." (Optional, Opt-In): Eligible users may choose to route inference to a remote AI server (ours or a third-party provider you configure) in order to run larger models. When enabled, the prompts and inference context for your turns are sent to the endpoint you configure. Your connection credentials (server address, model name, secret/API key) are stored locally in your operating system's secure credential store and are sent only to the endpoint you specify.
  • Diagnostics & Analytics: Production builds use Sentry for error/crash reporting and, where you opt in, Segment for aggregated, de-identified product analytics. See the Privacy Policy below for detail.

3. User Accounts and Eligibility

  • Age Requirement: Aiva is not intended for use by individuals under the age of 18. By using the App, you represent and warrant that you are at least 18 years of age. We do not knowingly collect personal data from minors.
  • Account Security: You are responsible for maintaining the security of your device and any credentials used to access the App, including any third-party AI provider keys you enter for remote inference. Maven Intel is not liable for any loss or damage arising from your failure to protect your device, account, or credentials.

4. Third-Party Services

Aiva integrates with third-party services to provide certain features, including Auth0 (authentication), third-party search and content providers (web search and extraction), and—if you enable remote inference—an AI provider of your choosing. Your use of these features may also be subject to the terms and privacy policies of those third parties. Where you configure a remote inference endpoint, you are responsible for ensuring you have the right to use that provider and for any charges they impose.

5. User Content Ownership

You retain ownership of all input you provide to the Services ("Input") and the output generated by the Services based on that Input ("Output"). Collectively, this is "User Content."

  • License for Connected Features: By using web search, page extraction, image generation, or remote inference, you grant Maven Intel a limited, non-exclusive license to process the relevant request data solely to provide the requested result. We do not use this data to train our models.

6. Usage Requirements and Restrictions

You agree not to use Aiva to:

  1. Violate any applicable national or international laws.
  2. Generate or disseminate content that is illegal, harmful, threatening, abusive, defamatory, or sexually explicit.
  3. Reverse engineer, decompile, or attempt to extract the source code or model weights of the App.
  4. Interfere with or disrupt the integrity or performance of the App's optional connected services.

7. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS." Maven Intel makes no guarantees regarding the accuracy, reliability, or completeness of the Output generated by Aiva. The App may occasionally produce incorrect, offensive, or biased information. You should not rely on Aiva for professional advice without independent verification.

8. Limitation of Liability

To the fullest extent permitted by law, Maven Intel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of your use or inability to use the App.

9. Termination

We may suspend or terminate your access to account-gated or cloud-connected services immediately, without prior notice, if you violate these Terms.

10. Planned Features (Not Yet Available)

The following are on our roadmap and are not currently available in the App. These Terms will be updated before any of them launch:

  • Fees and Payments (Aiva Pro): A paid subscription tier. When introduced, fees would be billed in advance on a recurring basis; cancellation would take effect at the end of the billing period; and payments would be non-refundable except as required by law.
  • Cloud Backup: An optional, end-to-end-encrypted backup of your local data. As planned, data would be encrypted on your device before transmission, and Maven Intel would not hold your decryption keys (meaning lost keys would make data unrecoverable).

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the UAE, without regard to its conflict of law provisions.
